BOARDROOM BREWERY
ADDITIONAL TERMS & CONDITIONS
(Revised for Boardroom Brewery)
These Additional Terms and Conditions, together with the Catering Sales Event Agreement (collectively, the “Agreement”), are entered into by and between East Culver Partners LLC dba Boardroom Brewery (“Boardroom” or “we” or “us” or “our”) and the event organizer listed on the signature page of the Catering Sales Event Agreement (“Client” or “you” or “your”). All capitalized terms not otherwise defined have the meanings set forth in the Catering Sales Event Agreement.
For the entire period of your use and occupancy of Boardroom Brewery for your Event, you agree to comply with the following:
1. ADDITIONAL SPEND
You agree to pay for any food, beverages, staffing, rentals, décor, audio/visual items, or other services not expressly included in the Catering Sales Event Agreement but requested by you during the Event.
You must provide, in writing before the Event date, the names of individuals authorized to approve additional charges. All additional charges will be presented to your authorized representative for signature on a daily or per-event basis.
2. OVERTIME
Events must begin and end at the times confirmed in the final Event Order. If your Event runs past the scheduled end time, you agree to pay applicable overtime labor charges, extended venue-use fees, and any other resulting expenses incurred by Boardroom.
3. PRICE ADJUSTMENTS
Prices for food and beverage may be subject to change due to market conditions (e.g., ingredient cost fluctuations, distributor pricing, product availability).
We will notify you of any changes in advance. Written approval may be required for substantial price increases, or we may make reasonable menu substitutions.
4. SETUP FEES
Extensive room resets, custom layouts, staging, or specialty build-outs may incur additional labor or rental charges. If rental equipment beyond Boardroom’s inventory is required, you agree to pay the rental costs.
5. DISPLAYS, DECORATIONS & PERSONAL PROPERTY
You may bring décor or special items with prior written approval.
Boardroom is not responsible for loss or damage to any personal property, equipment, or décor brought into the venue.
We reserve the right to require Boardroom staff to install or remove certain items, at your expense.
6. OUTSIDE FOOD & BEVERAGE
Outside alcoholic beverages are strictly prohibited under California ABC regulations. Outside food and non-alcoholic beverages require prior written approval. Service fees may apply. Cakes, desserts, or cultural items may be permitted with pre-approval and a service/handling fee.
7. DELIVERIES
All deliveries must be coordinated through your Boardroom Event Manager. We will not accept COD shipments. Deliveries are accepted no more than 48 hours prior to the Event unless otherwise approved. Boardroom is not responsible for loss or damage to delivered items.
8. OUTSIDE VENDORS & CONTRACTORS
If you hire outside contractors (e.g., DJs, florists, rental companies, decorators, photo booths), you must notify us at least 10 days in advance.
We may require vendors to provide:
- Certificate of insurance with Boardroom named as additional insured
- A signed hold harmless/indemnification agreement
Boardroom retains the right to approve or reject vendors. Certain services may require Boardroom staff involvement, which will be billed accordingly.
9. SECURITY
For larger events or events involving amplified music, Boardroom may require security personnel at your expense. Security must be licensed and pre-approved by Boardroom. Armed security is not permitted.
10. CONDUCT OF EVENT
You are responsible for any damage to the premises caused by you, your guests, or your vendors.
Activities that may disturb other guests, neighbors, or operations — including excessive noise, smoke effects, confetti, glitter, candles, incense, fog machines, or strong odors — are prohibited unless pre-approved.
Boardroom reserves the right to end the Event immediately if unsafe or non-compliant conditions arise. All charges will remain due.
11. FIRE & SAFETY COMPLIANCE
Open flames, fireworks, fuel-powered equipment, and hazardous materials are prohibited unless fully permitted and approved in writing.
All décor, staging, and seating layouts must comply with local fire regulations, occupancy loads, and exit requirements.
If special permitting is required (e.g., for staged productions, vehicles, or heavy equipment), you are responsible for all permit fees.
12. LIABILITY LIMITATIONS
To the fullest extent permitted by law, Boardroom is not liable for:
- Services or products provided by third-party vendors, even if recommended by Boardroom.
- Claims arising from agreements between you and your vendors.
This applies regardless of whether vendors are preferred, recommended, or compensate Boardroom in any form.
13. ACCESSIBILITY & AUXILIARY AIDS
Boardroom provides ADA-accessible spaces and accommodations.
If your attendees require special auxiliary aids, you must notify us at least one week in advance.
Any additional aids or services required beyond standard ADA accommodations are your responsibility.
14. COMPLIANCE WITH LAWS
You represent that you are not on any restricted trade, sanctions, or prohibited-party list.
If you are added to such a list before your Event, you must notify us immediately.
Boardroom may cancel the Event without liability if necessary for compliance with applicable laws.
15. USE OF BOARDROOM NAME & BRAND
All promotional materials mentioning Boardroom Brewery — including logos, photos, or name usage — require prior written approval.
Boardroom may share your event details with approved third-party vendors providing services for your Event.
16. GUEST RESERVATION INFORMATION
If attendee lists are shared with Boardroom for planning or security, you are responsible for obtaining attendee consent and for any privacy-related claims arising from your disclosure.
17. EVENT PLANNER BONUSES (IF APPLICABLE)
If Boardroom agrees to provide an event-planner incentive or commission, it is your responsibility (and your planner’s) to handle any required employer disclosures.
We may require a signed acknowledgment from the planner’s employer.
18. CREDIT CARD DISPUTES
If paying via credit card, you agree to address any billing disputes directly with Boardroom before filing a card chargeback.
All unresolved disputes will follow the Agreement’s dispute-resolution provisions.
19. ASSIGNMENT
If you transfer or assign your Event to another party or organization, Boardroom must approve the assignment in writing.
Unauthorized assignments are not valid.
20. SEVERABILITY; NON-WAIVER
If any provision is deemed unenforceable, the remainder will remain in effect.
Failure by either party to enforce any provision does not constitute a waiver of rights.
21. AMENDMENTS & COMMUNICATIONS
All changes must be in writing and signed by both parties.
Electronic signatures, scanned signatures, and PDF-signed documents are acceptable.
Emails without signatures do not constitute amendments.
